<br /> ASSIGNMENT OF REAL ESTATE OPTION AGREEMENTS
<br /> This Assignment of Real Estate Option Agreements (this "Assignment "), dated
<br /> as of December , 2010 (the "Effective Date "), is entered into by and between THE
<br /> CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of
<br /> California ( "City "), and THE COUNTY OF SAN MATEO, a subdivision of the State
<br /> of California ( "County ").
<br /> 1. Real Estate Option Agreements. As of the Effective Date, City hereby
<br /> grants, assigns, transfers, and delivers to County all of City's right, title, interest in, to
<br /> and under those certain four (4) Real Estate Option Agreements, each dated as of October
<br /> 1, 2010, as amended (each, an "Option Agreement "), as evidenced by the following:
<br /> • Memorandum of Real Estate Option Agreement dated as of October 20,
<br /> 2010, by and between CHEMICAL WAY PROPERTIES, LLC, a
<br /> California limited liability company (as the "Owner "), and City (as the
<br /> "Optionee "), which was recorded in the Official Records of San Mateo
<br /> County, California on November, 12, 2010, as Instrument No. 2010-
<br /> 135897, relating to the real property commonly known as 20 Chemical
<br /> Way, as more particularly described in such memorandum.
<br /> • Memorandum of Real Estate Option Agreement dated as of October 20,
<br /> 2010, by and between LAS CRUCES HOLDINGS, LLC, a California
<br /> limited liability company (as the "Owner "), and City (as the "Optionee "),
<br /> which was recorded in the Official Records of San Mateo County,
<br /> California on November, 12, 2010, as Instrument No. 2010 - 135896,
<br /> relating to the real property commonly known as 50 Chemical Way, as
<br /> more particularly described in such memorandum.
<br /> • Memorandum of Real Estate Option Agreement dated as of October 20,
<br /> 2010, by and between KONA VENTURES, LLC, a California limited
