<br />FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
<br />Lone Star California, Inc., which acquired title as Lonestar California Inc., a Delaware corporation ("Grantor")
<br />hereby GRANT(S) to
<br />The City of Redwood City, a charter city and municipal corporation of the State of California ("Grantee")
<br />the following described real property in the City of Redwood City, County of San Mateo, State of California (the
<br />"Property"):
<br />SEE EXHIBIT "A" ATTACHED HERETO AND MADE A PART HEREOF
<br />together with all easements, oil and gas rights, water, water rights, air rights, development rights and privileges
<br />appurtenant thereto, and mineral rights to the extent held by Grantor, and all appurtenances, fixtures, and improvements,
<br />if any, on the Property.
<br />This conveyance is made and accepted expressly subject to any and all restrictions, encumbrances, easements,
<br />covenants, and previously conveyed or reserved mineral and royalty interests, if any, relating to the Property as described
<br />in attached Exhibit A, but only to the extent they are still in effect and shown of record in the real estate records of San
<br />Mateo County, California, and to all zoning laws, regulations, and ordinances of municipal and/or governmental authorities,
<br />if any, having jurisdiction over the Property.
<br />USE RESTRICTION: As a material inducement to Grantor's agreement to sell the Property to Grantee, for a
<br />period of twenty (20) years following the date of recordation of this Grant Deed (the "Document Date', Grantee and its
<br />heirs or assigns shall not develop, use or operate the Property, or permit the Property to be used, developed or operated,
<br />for the purpose of producing or manufacturing for sale or distribution of ready -mix concrete, concrete aggregates, fly ash,
<br />slag, cement, concrete block, asphalt, pipe, cementitious material or other products competitive with those sold or
<br />furnished by Grantor (the "Use Restriction"). Grantor shall have the right to enforce, by proceedings at law or in equity,
<br />the restrictions and covenants imposed by this provision including the right to prevent the violation of such restrictions and
<br />covenants, and the right to recover damages or other amounts due for such violation. Grantee acknowledges that breach of
