o���o��� <br /> COMMUNITY LEGAL SERVICES IN EAST PALO ALTO (CLSEPA) <br /> MEMORANDUM OF UNDERSTANDING BETWEEN CLSEPA AND <br /> REDWOOD CITY "2020 FOR 2012 ANTI PAYDAY LENDING GRANT <br /> PROJECT <br /> 1. Project Overview <br /> This is a memorandum of understanding dated as of November 7, 2012 (the "MOU") <br /> between Community Legal Services in East Palo Alto ("CLSEPA") and Redwood City 2020 <br /> (the "Collaborator"or"RWC 2020"). <br /> CLSEPA is a California nonprofit public benefit corporation that is tax exempt under <br /> Section 501(c) (3) of the Internal Revenue Code. The Collaborator is a parmership of public <br /> and private agencies. The City of Redwood City serves as the fiscal sponsor far the <br /> Collaborator (Redwood City 2020). CLSEPA and the Collaborator intend to work together on <br /> the project (the "Project") described in the Project Description attached as Exhibit A. This <br /> MOU covers work that CLSEPA and Collaborator will do under the terms of the Grant <br /> Agreement between CLSEPA and the Silicon Valley Community Foundation (SVCF) attached <br /> as Exhibit B. <br /> 2. What CLSEPA Wrll Do <br /> CLSEPA's Project responsibilities are described in the Project Description. CLSEPA <br /> will disburse grant funds to the Collaborator in the manner and amount(s) described in the <br /> Project Description. Additional CLSEPA responsibilities are set out in Section 5. <br /> 3. What the Collaborator Will Do <br /> 3.1 Project Responsibilities. The Collaborator's Project responsibilities are described <br /> in the Project Description. Additional responsibilities of the Collaborator are set out in Section <br /> 5. <br /> 3.2 Limitcztions on Use of Funds. Ttie Collaborator will use the funds provided by <br /> CLSEPA exclusively for the purposes set out in the Project Description. The Co(laboratar will <br /> not use the funds or any income earned from investment of the funds (i) to influence any <br /> election or to engage in any activity that is prohibited by Internal Revenue Code Section <br /> SOl(c)(3) or(ii) to support any person or organization engaged in terrorist activity. <br /> 4. How We Wi/l Corrrrnunicate <br /> 4.1 Reports. The Collaborator will submit reports to CLSEPA in the manner and on <br /> the schedule set out in the Project Descriptiori.
