_`._____ __... <br /> �RIGINAL <br /> FIRST AMENDMENT TO DOCKTOWN <br /> LANDSIDE LICENSE AGREEMENT <br /> This First Amendment to Docktown Landsi cense Agreement (this <br /> "Amendment")made and entered into this�da.y of��by and among Docktown <br /> CB-R, LLC, a California limited liability company and Salaman Associates, LLC, a <br /> California limited liability company (collectively, "Owners") and the City of Redwood <br /> City("City")bears the following recitals.The Owners and City are sometimes collectively <br /> referred to herein as the"parties" and individually as a"party." . <br /> RECITALS <br /> A. On February 28, 2013, Owners and the City entered into a temporary 90 day license <br /> agreement and then entered into that certain Docktown landside License Agreement <br /> dated July 16,2013,for a one yeax term from July 1,2013 to June 30,2014("License"). <br /> B. Owners and the City now desire to extend the license term as set forth below. <br /> NOW THEREFORE, in consideration of the foregoing Recitals and for other <br /> good and valuable consideration, the receipt and adequacy of which are hereby <br /> acknowledged,the parties hereby agree as follows: <br /> 1. Extension of Term.The Initial Term of the License as set forth in paragraph <br /> 5 thereof is hereby extended for an additional three (3)month period("Extension Term") <br /> commencing on July l, 2014 and expiring on September 30, 2014. The Owners and the <br /> City will continue to discuss and work towards agreement on a further extension of the <br /> License. <br /> 2. License Fee. The monthly license fee for the Extension Term is $12,500 <br /> per month, with the understanding that $5,000 of the City's fee for July, August and <br /> September 2014 shall be applied as a$15,000 credit for the expense of removing the barge <br /> that is currently located in a portion of Redwood Creek adjacent to the Owners' Properiy <br /> (the"Barge"). <br /> 3. The Bar�e. In consideration for the Owners' contribution of$15,000 credit <br /> for the Barge removal, the City covenants and agrees that it will not make any claims <br /> against the Owners with regards to the Barge. Other than the credit being provided <br /> pursuant to paragraph 2 above,the City will assume responsibility to remove the Barge at <br /> its own expense. <br /> 4. Notice for Salaman Associates LLC.
