The Department and Ciient will use their best efforts to resolve any disputers under the <br /> Agreement through informalmeans. Unresolved disputes shall be dispo5ed of through binding <br /> arbitration pursuant to Code of Civil Procedure settion 1280 et. seq.,with the non-prevailing <br /> party to pay the arbitrator's fees, but each side to atherwise bear its awn costs and attorney's <br /> fees. <br /> 10.0 Confidentiality <br /> Neither party shall disclose to any third person or entity,wi#hnut the other's prior written <br /> consent, any confidential information that relating to students or student records,or to <br /> services, such as information, records, reports and/or course data, Non-student confidential <br /> in#ormation is'information that relates to research, development,employee records, business <br /> affairs, but does not include information that is generally knawn ar easily ascertainable by non- <br /> parties of ardinary skill. <br /> 11.0 Miscellaneous <br /> The person signing{Depar�ment or Client) may assign this Agreement or any right or obligatio'n <br /> there under without ihe written consent of the other party. Any attempted assignment or' <br /> transfer withaut such consent may, at the option of the unconsenting party, be deemed to�be a <br /> cancelation of the Agreement. <br /> 12.0 No Assignment <br /> Neither party(Department or Client} may assign this Rgreement or any right or obligatian there <br /> under withflut the express written consent of the other party. Any attempted assignment or <br /> transfer without such consent may, at th'e option of the unconsenting party, be deemed to be a <br /> cancellation of the Agreement. <br /> 13.0 Compliance with Laws and Regulations <br /> 7he Department and Client shall each at its own expense comply with all laws, rules and <br /> regulations of competent public authority relating fo its duties, obligations and performanc�s <br /> under this contract, and shall procure all licenses and pay all fees and other charge5 required � <br /> thereby. Consortium shall comply with Execu#ive Order 1246,re(ating to Equal Employmen# <br /> Opportunity and all ruies and regulation pursuant thereto. <br /> The Cfient agrees that it will not discriminate in the selection of any student to receive <br /> instruction pursuant to this Agreement because of race, creed, color national origin,gender, <br /> sexual orientatian or age.
