attorneys' fees), or claims for injury or damages directly or indirectly arising out of or <br /> related to the Grantee performance of this Grant Agreement, or the administration or <br /> use of grant funds by Grantee provided under this Grant Agreement, but only in <br /> proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims <br /> for injury or damages are caused by or result from the negligent or intentional acts or <br /> omissions of Grantee, its officers, agents, or employees. This provision will survive <br /> the expiration or earlier termination of this grant. <br /> (8) The Grantee will provide to the Foundation such other information as may be <br /> necessary or desirable to permit the Foundation to exercise its responsibility for the <br /> supervision of the grant as required by the Internal Revenue Code. <br /> (9) Failure to observe any of the grant's conditions, with or without notice by the <br /> Foundation, will be deemed a default on the part of the Grantee.
