,� Page 1 of 4 �,,��u��IAL AGREEMENT FOR EXTENDED DAY ACADEMIC AND ENRICHMENT SERVICES BETWEEN THE REDWOOD CITY SCHOOL DISTRICT AND THE CITY OF REDWOOD CITY This Agreement is made as of this l lth day of June, 2014 by and between the Redwood City School District("RCSD") and the City of Redwood City ("CONTRACTOR")to provide extended day academic and enrichment services. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: l. SERVICES The CONTRACTOR agrees to provide extended day academic and enrichment services as described in the RCSD Extended Day Program& School Minimum Expectations contained in Attachment A and the RCSD Extended Day Policies and Protocols contained in Attachment B at the following school sites: Fair Oaks, Hawes, Hoover, John Gill, and Selby Lane. The RCSD will provide necessary supports to the CONTRACTOR, as described in Attachment A. If applicable,the CONTRACTOR will refer 21 St Century Community Learning Center families to existing literacy and related educational development services. The CONTRACTOR agrees to utilize the computer system(City Span)provided by the RCSD to enter daily attendance. Any technical difficulties associated with utilizing this system will be reported within 72 hours. 2. EQUIPMENT AND MATERIALS CONTRACTOR shall provide all equipment, materials, and supplies necessary to perform the academic and enrichment services for the RCSD in accordance with the terms, conditions and specifications set forth herein and in Attachments A and B. 3. USE OF SUBCONTRACTORS CONTR.ACTOR shall not assign this Agreement or any portion thereof to a third party without the prior written consent of RCSD. 4. LICENSES AND PERMITS CONTRACTOR shall obtain and keep in force all licenses, permits, and certificates necessary for the performance of this Agreement. 5. INSURANCE CONTRACTOR understands the RCSD does not provide liability, malpractice, or workers' compensation insurance for the CONTRACTOR. The CONTRACTOR is responsible for maintaining personal and professional insurance to provide protection for any claims arising out of services provided under this Agreement. The CONTRACTOR assumes all liability for services provided under this Agreement. The CONTRACTOR will provide proof of insurance and will identify RCSD as an additional insured. The CONTRACTOR agrees to provide 30 days' written notice to the RCSD of any pending change in the limits of liability or of a cancellation or modification of the policy. Initial /
