7.1.D. - Page 23 <br /> 17. SEVERABILITY. If any provision,term or condition of the Purchase Agreement is found <br /> invalid or unenforceable, the remaining provisions will be given effect as if the invalid or unenforceable <br /> provision were not a part of the Purchase Agreement. <br /> 18. AMENDMENTS; WAIVER. This Purchase Agreement may not be amended except in <br /> a writing signed by the authorized representatives of both parties. No waiver of any provision of the <br /> Purchase Agreement shall be effective unless made in writing and signed by the party sought to be charged <br /> therewith. The failure of either party to enforce any provision of the Purchase Agreement shall not <br /> constitute or be construed as a waiver of such provision or of the right to enforce it at a later time. <br /> 19. LATE FEES. In the event that Buyer fails to pay any amounts under this Purchase <br /> Agreement when due,then Seller may charge interest on such late payments until paid at a rate equal to the <br /> lesser of(i) one and one half percent per month and (ii) the maximum rate of interest permitted under <br /> applicable law. <br /> 20. SURVIVAL.
