<br /> <br />Wage Laws, and if the total compensation is $1,000 or more, Vision Internet agrees to fully comply with <br />such Prevailing Wage Laws. Client shall provide Vision Internet with a copy of the prevailing rates of per <br />diem wages in effect at the commencement of this Agreement. If the Subscription Services are being <br />performed as part of an applicable “public works” or “maintenance” project as defined by the Prevailing <br />Wage Laws, Vision Internet shall make available to interested parties upon request, copies of the prevailing <br />rates of per diem wages for each craft, classification or type of worker needed to execute the Services, and <br />shall post copies at the Vision Internet’s principal place of business and at the project site. Vision Internet <br />shall defend, indemnify and hold the Client, its elected officials, officers, employees and agents free and <br />harmless pursuant to the indemnification provisions of this Agreement and in accordance with the language <br />of this section, from any claim or liability arising out of any failure or alleged failure to comply with the <br />Prevailing Wage Laws. <br /> <br /> (o) Vision Internet represents and warrants that Contractor has all business licenses, <br />certificates, permits, and approvals of whatsoever nature that are legally required for Vision Internet to <br />provide any services under the Agreement, and shall, at its sole cost and expense, keep in effect or obtain <br />at all times during the term of this Agreement all such business licenses, certificates, permits, and approvals. <br />Without limiting the generality of the foregoing, Contractor warrants and represents that it possesses a valid <br />certificate of qualification to transact business in the State of California issued by the California Secretary <br />of State pursuant to Section 2105 of the California Corporations Code. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the dates set forth <br />next to their signatures below. <br /> <br /> <br />CITY OF REDWOOD CITY <br /> <br /> <br />DATE: ____________ By: _____________________________________________ <br /> <br /> Print Name____________________________ Print Title________________ <br /> <br /> <br />VISION TECHNOLOGY SOLUTIONS, LLC DBA <br />VISION INTERNET PROVIDERS <br /> <br /> <br />DATE: ____________ By: _____________________________________________ <br />David M.
