i Wage Laws, and if the total compensation is $1,000 or more, Vision Internet agrees to fully comply with such Prevailing Wage Laws. Client shall provide Vision Internet with a copy of the prevailing rates of per diem wages in effect at the commencement of this Agreement. If the Subscription Services are being performed as part of an applicable "public works" or"maintenance"project as defined by the Prevailing Wage Laws,Vision Internet shall make available to interested parties upon request,copies of the prevailing rates of per diem wages for each craft,classification or type of worker needed to execute the Services,and shall post copies at the Vision Internet's principal place of business and at the project site. Vision Internet shall defend, indemnify and hold the Client, its elected officials, officers, employees and agents free and harmless pursuant to the indemnification provisions of this Agreement and in accordance with the language of this section, from any claim or liability arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. (o) Vision Internet represents and warrants that Contractor has all business licenses, certificates, permits, and approvals of whatsoever nature that are legally required for Vision Internet to provide any services under the Agreement, and shall, at its sole cost and expense,keep in effect or obtain at all times during the term of this Agreement all such business licenses,certificates,permits,and approvals. Without limiting the generality of the foregoing,Contractor warrants and represents that it possesses a valid certificate of qualification to transact business in the State of California issued by the California Secretary of State pursuant to Section 2105 of the California Corporations Code.
