Binding on Successors and Assigns <br /> This Agreement shall be binding upon and insure to the benefit of the parties and <br /> their respective legal representatives, and authorized successors and assigns. <br /> 604. Amendments to this Agreement <br /> The Developer and the City agree to mutually consider reasonable requests for <br /> amendments to this Agreement that may be made by any of the parties hereto, lending <br /> institutions or bond counsel or financial consultants to the City, provided such requests are <br /> consistent with this Agreement and would not substantially alter the basic business terms <br /> included herein. <br /> 700. ENTIRE AGREEMENT, WAIVERS AND AMENDMENTS <br /> This Agreement is executed in two (2) duplicate originals, each of which is deemed to be <br /> an original. This Agreement comprises pages 1 through 24, inclusive, and Attachment Nos. 1 -A <br /> through 4, attached hereto and incorporated herein by reference, all of which constitute the entire <br /> understanding and agreement of the parties. <br /> This Agreement integrates all of the terms and conditions mentioned herein or incidental <br /> hereto, and supersedes all negotiations or previous agreements between the parties with respect <br /> to all or any part of the subject matter hereof. <br /> All waivers of the provisions of this Agreement must be in writing and signed by the <br /> appropriate authorities of the City and the Developer, and all amendments hereto must be in <br /> writing and signed by the appropriate authorities of the City and the Developer. <br /> This Agreement may be executed in two or more counterpart originals, each of which <br /> shall be deemed to be an original, but all of which together shall constitute one and the same <br /> document. <br /> 800. TIME FOR ACCEPTANCE OF AGREEMENT BY CITY <br /> This Agreement, when executed by the Developer and delivered to the City, must be <br /> authorized, executed and delivered by the City within thirty (30) days after the date of signature <br /> by the Developer or this Agreement shall be void, except to the extent that the Developer shall <br /> consent in writing to further extensions of time for the authorization, execution and delivery of <br /> this Agreement.
