The Developer shall also pay into Escrow to the Escrow Agent the following fees, <br /> charges and costs promptly after the Escrow Agent has notified the Developer of the amount of <br /> such fees, charges and costs, but not earlier than ten (10) days prior to the Closing Date (as <br /> defined in Section 204) specified in the Schedule of Performance (Attachment No. 3): <br /> l. One-half(1/2) of the Escrow fee; <br /> 2. The portion of the premium for the Title Policy to be paid by the <br /> Developer as set forth in Section 208 of this Agreement; <br /> 3.. Recording fees; and <br /> 4. Any and all other charges, fees and taxes levied by a government agency <br /> arising or relating to the conveyance of the City Property through this <br /> escrow, <br /> The City shall timely and properly execute, acknowledge and deliver to the <br /> Escrow Agent a quitclaim deed conveying to the Developer all of its right, title and interest in the <br /> City Property in substantially the form set forth in Attachment No. 4 (the "City Deed"), together <br /> with an estoppel certificate certifying that the Developer has completed all acts (except deposit <br /> of the Purchase Price) necessary to entitle the Developer' to such conveyance, if such be the fact <br /> (the"City Pre-Closing Certificate"). <br /> The City shall pay into Escrow to the Escrow Agent the following fees, charges <br /> and costs promptly after the Escrow Agent has notified the City of the amount of such fees, <br /> charges and costs, but not earlier than ten (10) days prior to the Closing Date specified in the <br /> Schedule of Performance (Attachment No 3): <br /> 1. Costs necessary to place the title to the City Property in the condition for <br /> conveyance required by the provisions of this Agreement; <br /> 2. One-half(1/2)of the escrow fee; <br /> 3. The portion of the premium for the Title Policy to be paid by the City as <br /> set forth in Section 208 of this Agreement; and <br /> 4. Ad valorem taxes, if any, upon the Site for any time prior to conveyance <br /> of title. <br /> Upon delivery of the City Deed to the Escrow Agent by the City pursuant to <br /> Section 206 of this Agreement, the Escrow Agent shall record the City Deed upon the Close of <br /> Escrow (as defined in Section 204) in accordance with the terms and provisions of this <br /> Agreement. The Escrow Agent shall buy, affix and cancel any transfer stamps required by law <br /> and pay any transfer tax required by law.
