NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Services. John W. Gardner Center for Youth and Their Communities at Stanford University will continue its research and evaluation role in the Redwood City/North Fair Oaks AOD Abuse Prevention Partnership. Key activities will include: • Support Prevention Partnership leadership in developing a high quality work plan and proposal for the new contract period. • Provide technical assistance to key staff of seven Prevention Partnership member organizations focused on identifying clear work plan objectives that are based on evidence based practice, have measurable outcomes, and are tightly tied to County priorities areas and goals. This technical assistance and planning will take place during previously established work group meetings as well as with individual members via phone, email and in-person. • JGC staff will attend monthly Prevention Partnership Steering Committee meetings. 2. Standard of Performance. While performing the Services, Consultant will exercise the reasonable professional care and skill customarily exercised by reputable members of Consultant's profession practicing in the urban Northern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. Term. Unless earlier terminated, the term of this Agreement will be effective from date first above written until June 30, 2015. 4. Schedule. Consultant will adhere to the schedule set forth in the Scope of Services, provided, that City in its discretion may grant reasonable extensions of time for the perFormance of such services occasioned by unusually lengthy govemmental reviews of Consultant's work product or other unavoidable delays occasioned by circumstances; provided, further, that such unavoidable delay will not include strikes, lockouts, work stoppages, or other labor disturbances conducted by, or on behalf of, Consultant's officers or employees. Consultant acknowledges the importance to City of City's project schedule and agrees to use its best professional efforts to meet the schedule. City understands that Consultant's performance must be governed by sound practices. 5. Conflict of Interest Waiver. Consultant is a member of Redwood City 2020, the consortium of organizations contracting for Consultant's services. However, the decision to award this agreement to Consultant was made without the participation of John W. Gardner Center and was based on the quality of Consultant's proposal, its prior experience with the Redwood City/North Fair Oaks AOD Abuse Prevention Partnership REV:09-15-14 MLG Page 2 of 9 ATTY/AGR.2014.0173/AOD Subcontract with JGC for 2014-2015
