or'IGINAL <br /> AMENDMENT NO. 1 TO <br /> LICENSE AND ACCESS AGREEMENT <br /> (REG8 Sequoia Station, LW) <br /> This Amendment No . 1 to License and Access Agreement ("Amendment") is <br /> entered into and effective as of the day of ( ) hC✓ , 2016, by <br /> and between the City of Redwood City ("City"), and REG8 Sequoia Station , LLC, <br /> ("Regency") (collectively, the "Parties") . <br /> RECITALS <br /> A. On November 12 , 2014 , the Parties executed a License and Access <br /> Agreement ("Agreement") , granting the City access to the Sequoia Station Shopping <br /> Center property, located at 1071 El Camino Real in Redwood City, California , to perform <br /> various tasks related to groundwater monitoring and sampling ; and <br /> B. The Parties now desire to amend the Agreement in order to expand the scope <br /> of work allowed under the Agreement and to extend the term of the Agreement. <br /> NOW, THEREFORE , in consideration of these recitals and the mutual covenants <br /> contained herein , the Parties agree as follows: <br /> 1 . Amendment to Recital D. Recital D is hereby amended in its entirety to <br /> read as follows: <br /> D . The City desires to access the Property to (i) maintain , <br /> monitor, inspect, periodically sample, and abandon <br /> existing groundwater monitoring wells currently located <br /> on the Property as well as any groundwater monitoring <br /> wells installed pursuant to this Agreement; (ii) inspect the <br /> Property to evaluate potential remedial options; and (iii) <br /> conduct three pilot test study activities in accordance with <br /> the Work Plan in the attached Exhibit B by drilling <br /> temporary injection points below ground surface and <br /> injecting abiotic and/or biotic enhancing reducing agents <br /> into the groundwater at the locations delineated in <br /> Exhibit B , attached hereto and incorporated herein by <br /> reference. <br /> 2 . Amendment to Section 10 . Section 10 is hereby amended to read in its <br /> entirety as follows: <br /> 10 . All Work shall be performed between 7 :00 a.m . and 6:00 <br /> p .m. , Pacific Time, Monday through Friday. In the event <br /> the City needs to perform the Work and at other times, <br /> the City shall seek approval from Regency.
