Prior to City's execution of this Agreement, Consultant shalt provide to City certi�cates o# insurance and above-referenced endars�ments $ufficisnt to satisfaction of City's R�sk Manager. In na event shall Consuttant commence any work ar provide any Services under this Agreement untit certificates of'insurance and endorsements have been accept€�d by City's Ris�c Manager. 11.4 Failure to Mafntain Coverac�e. If Consultant fails to cnmply with these insurance requirements, then City will have the option ta declare Cansultant in breach, vr may purchase replacement insur�nce or pay the premiums that are due on existing polici�s in ord�r to maintain the required coverages. Consultant is responsibte for any paymen#s made by Gityr to obtain or maintain insurance and Ci#y may collect these payments from Consultant ar deduct the amount paid from any sums due Consul#ar�t under this Agreement. 11.5 Subm�ssion of Insurance Policies. City res�rves the right to require, at any time, camp(ete copies of any or all required insurance policies and endc�rsements. 12, Business License. Consultanf wiil obtain and maintain a Ci#y of Redwtxyd City Business License fiar the term af the Agreement, as may be amended from time to time. 13. Maintenance of Records. Cansu{tant will maintain camplete and accurate records with respect to costs in�urred under this Agreement, All records will be clearly identifiable. Consultarrt wilt allow a representative of City during normal business hours ta examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreemen#. Cc�nsultan# will ailaw inspection af al! work, data, documents, proceedings, and acfivities nelated to #he Agreemeni for a period af three (3)years from the date of final payment under this Agreement. 1�. C?wnership t7f Documents. All work product produced by Consuitant ar i#s agents, employees, and subcontractors pursuant to this Agreement is the property �f City.
