2. Term. This agreement shall be effective from the date first above written until <br /> June 30, 2015. <br /> 3. Structure of Redwood City 2020. <br /> a. Leadership Council. The Redwood City 2020 Leadership Council is <br /> composed of up to two voting representatives from each of the collaborative partners' <br /> governing policy boards. <br /> b. Executive Team. The Redwood City 2020 Executive Team is composed <br /> of one executive leader (i.e. CEO, senior manager, etc.) from each of the partner <br /> institutions — the City, County, Elementary School District, High School District, Kaiser <br /> Permanente, the John W. Gardner Center for Youth and Their Communities, the <br /> Sequoia Healthcare District, and First 5 San Mateo County. <br /> c. The Leadership Council and the Executive Team follow the structure <br /> described in Exhibit A (Governance Structure), which is attached hereto and <br /> incorporated herein by reference. <br /> 4. Redwood Citv 2020 Staff. It is understood that Redwood City 2020 will require the <br /> services of an Executive Director and related support staff for its day- to-day operations. The <br /> Executive Team has designated the City of Redwood City to contract for the Executive Director, <br /> Administrative Assistant and necessary staff positions on behalf of Redwood City 2020. The <br /> City serves as the fiscal agent for Redwood City 2020. <br /> 5. Fundin . Each of the Parties shall contribute at least finrenty-five thousand dollars <br /> ($25,000) annually to support the work of Redwood City 2020. First 5 San Mateo County <br /> acknowledges that they will make a finrenty five thousand dollar($25,000) contribution for Fiscal <br /> Year 2014-2015. Redwood City 2020 will invoice First 5 San Mateo County $25,000 upon <br /> execution of this agreement. <br /> a. As Fiscal Agent, the City is authorized to receive money on behalf of <br /> Redwood City 2020 and deposit some into a special deposit account in the City's <br /> General Fund. The money received on behalf of Redwood City 2020 shall be disbursed, <br /> as requested, by the Redwood City 2020 Executive Director in writing, subject to City <br /> administrative procedures. <br /> b. At no time shall the City be under any obligation to disburse money to <br /> Redwood City 2020 in excess of the amount on deposit. The Executive Team <br /> acknowledges that money received by the City will not be available for disbursement for <br /> three (3) business days after the funds have been deposited by City, or for a longer <br /> period, as deemed appropriate by City's Finance Director. <br /> 6. Acts and Omissions of Executive Director. The acts and omissions of the Executive <br /> Director, or any other employees, agents or volunteers acting on behalf of Redwood City 2020 <br /> shall not in any way be construed as the acts and omissions of the City, but shall be deemed as <br /> the acts and omissions of the Parties acting jointly. <br /> 7. Notices.
