��. AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES LSA Associates, Inc. This Amendment No. 1 is entered into and effective as of the � day of , 2016, amending the agreement dated December 22, 2014 (the "Agr ement") and between the City of Redwood City, a charter city and municipal corporation (" ity"), and LSA Associates, Inc. ("Consultant") (collectively, the "Parties") for archaeol gical cultural resources evaluation and reports for the intersection improvemen s at Middlefield Road and Woodside Road. RECITALS A. On December 22, 2014, the Parties executed Professional Services Agreement; and B. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Exhibit "A," Scope of Services and Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide those services identified as Task A in Exhibit "A" of the Agreement, but will not provide the services identified as Task B in Exhibit "A" of the Agreement. Rather, in addition to those services identified as Task A in Exhibit "A" of the Agreement, Consultant will provide those services identified as Task C in Exhibit "A" of this Amendment. With this Amendment, the total Agreement amount shall not exceed Fifty-Two Thousand Five Hundred Sixteen Dollars ($52,516.00). 2. City will pay Consultant for all work associated with those services described in Exhibit "A" of this Amendment on a time and materials basis not-to-exceed Thirty-Seven Thousand Four Hundred and Sixty-One Dollars ($37,461.00), for an aggregate amount of $52,516.00 [$25,230.00 (Agreement Amount) minus $10,175.00 (Task B Amount) _ $15,055.00 plus $37,461.00 (Amendment Task C Amount) _ $52,516.00 (Aggregate Amount)]. Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours perFormed, hourly rates, and related activities and costs for approval by City. 3. Consultant will complete all work described in Exhibit"A" by June 2, 2016. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
