certain RCIA expenditures made befinreen December 1, 2014 and March 31, <br /> 2015, in furtherance of RCIA start-up activities for the benefit of the District. <br /> b. The expenditures eligible for advancement are the reasonable costs of a <br /> consultant to assist RCIA with the start-up activities, the hiring and paying an <br /> executive director, and such other reasonable costs for other appropriate <br /> start-up activities submitted in writing which the City Manager may approve. <br /> c. The City will withhold from District assessments as received from the eligible <br /> Advancements made to RCIA until the City is repaid in full. <br /> 3. Term. The term of the Agreement (the "Term") shall begin on the Effective Date <br /> and terminate upon the date that the City is fully reimbursed for the funds it advances to <br /> RCIA pursuant to this Agreement. <br /> 4. Record keepinq. Within RCIA shall provide documentation to City evidencing <br /> that RCIA's incurred the eligible expenses identified in Section 2 herein for which City <br /> made an Advance, and maintain such records in accordance with law. <br /> 5. Nature of Commitment. Nothing in this Agreement is or should be construed to <br /> be a covenant, promise, or commitment by City to authorize a contract befinreen RCIA <br /> and City for District Management Services. <br /> 6. Notices. Each party <br /> will notify the other immediately of any changes of address that would require any notice <br /> or delivery to be directed to another address. <br /> 7. Termination. Either Party upon tendering ten (10) days written notice to the <br /> other party may terminate this Agreement. <br /> 8. Indemnification.
