certain RCIA expenditures made befinreen December 1, 2014 and March 31, 2015, in furtherance of RCIA start-up activities for the benefit of the District. b. The expenditures eligible for advancement are the reasonable costs of a consultant to assist RCIA with the start-up activities, the hiring and paying an executive director, and such other reasonable costs for other appropriate start-up activities submitted in writing which the City Manager may approve. c. The City will withhold from District assessments as received from the eligible Advancements made to RCIA until the City is repaid in full. 3. Term. The term of the Agreement (the "Term") shall begin on the Effective Date and terminate upon the date that the City is fully reimbursed for the funds it advances to RCIA pursuant to this Agreement. 4. Record keepinq. Within RCIA shall provide documentation to City evidencing that RCIA's incurred the eligible expenses identified in Section 2 herein for which City made an Advance, and maintain such records in accordance with law. 5. Nature of Commitment. Nothing in this Agreement is or should be construed to be a covenant, promise, or commitment by City to authorize a contract befinreen RCIA and City for District Management Services. 6. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Consultant under this Agreement. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 7. Termination. Either Party upon tendering ten (10) days written notice to the other party may terminate this Agreement. 8. Indemnification. RCIA will defend, indemnify and hold harmless City and its officers, agents, employees and volunteers from and against all claims, damages, losses and expenses including attorney fees arising out of this Agreemen#, caused in whole or in part by the willful misconduct or any negligent act or omission of the RCIA, any subcontractor, anyone directly or indirectly employed by any of them or anyone for ATTY/AGR/2014.261/RCIA Advancement of Cost.doc REV:12-16-14 PT Page 2 of 4
