. . <br /> 19.2. RCIA's management of the services of this Agreement is of substantial concern and <br /> importance to the City, requiring coordination with City services. The quality of <br /> performance will reflect on the City and its management. Accordingly, the City requires <br /> RCIA to inform the City on a regular basis of any changes in the Officers of RCIA and of <br /> the identity of its subcontractors and their areas of responsibility. <br /> 19.3. The City Manager or his or her authorized designee (the "City Representative") shall be <br /> the primary contact between the City and RCIA for purposes of this Agreement. The City <br /> shall provide RCIA with the name and contact information of the City Representative. <br /> 20. Public Liabilitv and Propertv Damage Insurance. Prior to the execution of this Agreement <br /> by the Parties and approval by the City, and prior to RCIA's performance of its obligations <br /> and/or duties under this Agreement, RCIA shall obtain the following: <br /> 20.1. Commercial general liability insurance in an amount not less than Two Million Dollars <br /> ($2,000,000) per occurrence for personal injuries, including accidental death, to any one <br /> person; property damage insurance in an amount not less than Two Million Dollars <br /> ($2,000,000) and subject to the above limits and combined single limit of insurance in an <br /> amount not less than Three Million Dollars ($3,000,000); and <br /> 20.2. Automobile liability insurance endorsed for all vehicles (whether rented, leased, hired, <br /> scheduled, owned or non-owned), in an amount not less than One Million Dollars <br /> ($1,000,000)per occurrence for personal injuries, including accidental death, to any one <br /> person; property damage insurance in an amount not less than One Million Dollars <br /> ($1,000,000) and subject to the above limits and combined single limit of insurance in an <br /> amount not less than One Million Dollars ($1,000,000). <br /> 20.3. At all times, the insurance company issuing said policies shall be an "admitted" insurer in <br /> the State of California and shall carry an A.M. Best & Company minimum rating of <br /> AA:VII. <br /> 20.4. All policies shall contain a "Severability of Interest" clause and a "Primary Coverage" <br /> clause for any loss arising out of or caused by RCIA's performance of the Agreement. In <br /> addition, the policies shall contain a statement of obligation on the insurance carrier's part <br /> to notify City, by registered mail, at least thirty (30) days in advance of any policy <br /> cancellation, termination or reduction in the amount of coverage. <br /> 20.5. Within thirty (30) days of the first transfer of funds from the City, the RCIA shall deliver <br /> to City a "certificate of insurance" and an "additional insured endorsemenY', both <br /> documents countersigned by the insurance carrier or its authorized representative, on <br /> forms satisfactory to the City Attorney, which set forth the above provisions. <br /> 20.6. The countersigned certificate, along with the additional insured endorsement, shall state: <br /> "The City of Redwood City, its elected and appointed officials, officers, agents and <br /> employees are named as additional insureds under this policy.
