<br /> ORIGINAL <br /> AGREEMENT FOR LEGAL SERVICES <br /> [GREEN, de BORTNOWSKY & QUINTANILLA, LLP] <br /> MARINA SHORES VILLAGE <br />THIS AGREEMENT is entered into as of April 15, 2004, by and between THE <br />CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of <br />California (the "City") and GREEN, de BORTNOWSKY & QUINTANILLA, LLP, a limited <br />liability partnership, engaged in the practice of law in Calabasas, California (herein <br />called "Special Counsel") (collectively, the "Parties"). <br /> Recitals <br />A. The City is in the process of reviewing a development proposal for Marina <br />Shores Village, a residential/office/commercial development. <br />B. The Development proposal requires, among other items, the review and <br />drafting of land use documents as well as the negotiation and review of a development <br />agreement. <br />C. The City desires to engage Special Counsel to provide special legal <br />services to the City as required in connection with the Marina Shores Village <br />development proposal. <br /> AQreements <br />NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOllOWS: <br />1. Scope of Services. Special Counsel shall perform legal services as may <br />be required from time to time by the City and its officers in connection with this project, <br />including, but not limited to: advice, consultation, legal research and opinions regarding <br />development activities and any actions and documents relating thereto. Charles R. <br />Green, a principal member of the firm of Special Counsel, shall be responsible for the <br />performance of services hereunder and shall supervise any services performed by other <br />members of Special Counsel's firm. Litigation services are not included under this <br />Agreement, and in the event the City desires to retain Special Counsel for litigation, a <br />separate agreement shall be entered into. <br />It is understood that the City Attorney for the City acts as the legal counsel for <br />City and renders day to day and ongoing legal services, and that Special Counsel shall <br />coordinate its services hereunder with the City Attorney to the extent required. <br />2. Time of Performance. The services of Special Counsel shall be <br />undertaken and completed in such sequence as to assure their expeditious completion <br />in light of the purposes of this Agreement. <br />REDW\0004\011-2.DOC 1 <br />04\12\041030 law <br />
