Except as otherwise stated, alt notices to be provided or that may be provided under <br /> this Agreement must be in writing and delivered by regular and certified mail. Each <br /> party will notify the other immediately of any changes of address that would require any <br /> notice or delivery to be directed ta another address. <br /> 17. Conflict of Interest. City will evaluate Consultaint's duties pursuant to this <br /> Agreement to determine whether disclosure under the Political Reform Act and Gity's <br /> Conflict of Interest Code is required of Consultant or any of Consultant's employ�e�s, <br /> agents, or subcontractors. Should it be determined that disclosure is required, <br /> Cons��tant or Consultant's affected employees, agents, or subcontractor�wili compl�;te <br /> and fif� with the City Clerk thosie schedules specified by City and contained iri the <br /> Staitement of Economic Interests Form 700. <br /> Consultant, for Consultant and on behalf of Consultant's agents, emplo ees, <br /> subcontr�ctors and consultants w�rrants that by execution of this Agreement, tha���h�y <br /> h�ve no interest, present or contemplated, in the projects affected by this Agre�m�nt. <br /> Consultant further warrants that neither Consultant, nor Consultant's agents, <br /> emplayees, subcontractors and cc�nsultants have any ancillary real property, business <br /> interests or income that will be affected by this Agreement or, alternatively, that <br /> Consultant will file with City an affidavit disclosing this interest. <br /> 18. General Compliance with L�il�s. Consultant will k�eep fully informed of f�der�l, <br /> state and local laws and ordinances and regulations which in any manner �ffect those <br /> employed by Consultant, or in any way affect the perFormance of the Services by <br /> Cahsultant. Consultant will at all times observe �nd comply with these I�w�, <br /> ordinance�, and regulations and will be responsible for the compliance of Gonsultant's <br /> S�rvices with all applicable laws, ordinances and regulations. <br /> 19. Qiscrimination and Hara�sment Prohibited. Gonsuttant will comply with �tl <br /> applic�ble local, state and federal laws and regulations prohibiting discrimina#ion and <br /> harassment. <br /> 20. Termination. In the event of the Consultant's fa[lure to prosecute, deliver, or <br /> perform the Services, City may terminate this Agreeriient for nonperformance by <br /> notifying Consultant in writing pursuant to the notice provisions of this Agreement. <br /> If City d�cides to abandon or pdstpone the work or services contemptated by this <br /> Agreement, City may terminate tNis Agreement upnn written notice to Consul�ant <br /> pursuant to the notice provisions of this Agreement. termination will be effective <br /> immediately upon notification. <br /> Either F'arty upon tendering thirty (30) days written notice to the other party may <br /> termina�te this Agreement. <br /> Within 10 days of termination Consultant will assemble the work product without charge <br /> and put it in Qrder for proper filing and ctosing and detiver it to City.
