may be agreed upon by the parties (buyer, seller and City) to City for payment in <br /> accordance with the provisions of Exhibit B. Provided that the Contractor has <br /> complied with all conditions precedent to disbursement, the City shall deposit <br /> $114,895.00 into an escrow account no later than three days prior to close of <br /> Escrow. City shall not be obligated to pay Contractor for the services covered by <br /> any invoice if Contractor presents the invoice to City on or after June 30, 2015. <br /> Contractor will keep detailed and accurate records of all expenditures made and <br /> expenses incurred which are funded under this Ag�eement. <br /> 5. STANDARD OF SERVICE. Contractor warrants to City that it will <br /> use and account for all funds provided hereunder strictly in accordance with <br /> standards governing the use of, and accountabili#y for, funds held and disbursed <br /> in trust. The Project will conform to the highest standarcts provided for projects of <br /> similar or like nature in the San Francisco Bay Area, as determined by City's <br /> Community Development Director. Contractor will be responsible for, and hold <br /> City harmless from, any failure to adhere to such standards. Contractor will <br /> verify that all activities funded hereunder benefit only residents within City's <br /> corporate limits. <br /> 6. QUARTERLY REPORTS. Contractor will submit quarterly progress <br /> reports to the City describing the activities funded under this Agreement to <br /> document Contractor's success in meeting the Project objectives referenced in <br /> Paragraph 2. The reports will be submitted electronically to the website specified <br /> by City's CDBG/HOME Program on a quarterly basis by the 15th day of the <br /> month. The �nal report will be submitted no later than thirty (30) days after initial <br /> occupancy of the newly constructed units. The reports will include a project <br /> status and milestone accomplishment narrative, the total number of direct <br /> beneficiaries of the Project, if any, with demographic information regarding <br /> REV:02-05-15 VR <br /> Page 3 of 33 <br /> ATTY/AGR.2015.025Mabitat for Humanity GSF Jefferson Site Acquisition <br />
