the Parties have now agreed to modify the terms of the Agreement accordingly, as provided herein. NOW, THEREFORE, the Parties hereby agree as follows: 1. General. The Recitals, and defined terms therein, are incorporated herein by this reference as though fully set forth herein. Any capitalized term not otherwise defined in this Fifth Amendment shall have the meaning provided for that term in the Agreement. 2. Amendments to Paragraph 1 — Financial Assistance. The First Amendment designated all of Original Agreement Paragraph 1 (Financial Assistance) after the title as subparagraph (a), and added specified language as a new subparagraph (b). The Fourth Amendment added a subparagraph (c). This Fifth Amendment hereby deletes the subparagraph (c), and replaces it with a new subparagraph (c). For clarity, the entirety of Paragraph 1 is set forth below to read as follows: FINANCIAL ASSISTANCE (a) City will allocate to Contractor the sum of One Hundred Fourteen Thousand Eight Hundred Ninety Five and no/100 dollars ($114,895) for exclusive use by Contractor during the fiscal year commencing July 1, 2014, and ending June 30, 2015, solely for the purposes described in Paragraph 2. In consideration for providing the CDBG funds or the use of the proceeds thereof, Contractor has agreed to record Affordability Covenants in the form attached hereto as Exhibit A. (b) City will allocate to Contractor the sum of Two Hundred Seventy Six Thousand Four Hundred Ninety Three and no/100 dollars ($276,493) for exclusive use by Contractor during the fiscal year commencing July 1, 2015, and ending June 30, 2016, solely for the purposes described in Paragraph 2(b). (c) City will allocate to Contractor the sum of Two Hundred Thousand and no/100 dollars ($200,000) for exclusive use by Contractor during the fiscal year commencing July 1, 2020 and ending June 30, 2022, solely for the purposes described in Paragraph 3(c). 3. Amendments to Paragraph 2 — Use of Funds. The First Amendment designated all of Original Agreement Paragraph 2 (Use of Funds) after the title as subparagraph (a), and added specified language as a new subparagraph (b). The Fourth Amendment added a new subparagraph (c). This Fifth Amendment hereby deletes the entire subparagraph (c), and replaces it with a new subparagraph (c). USE OF FUNDS (a) Contractor will use the funds provided pursuant to Paragraph 1(a) solely for the Project objectives described in Exhibit B, attached hereto and by this reference incorporated herein. Contractor shall perform services as described in Exhibit B in consideration of the payments set forth in Paragraph 4 and shall cause to be recorded through escrow. (b) Contractor will use the funds provided pursuant to Paragraph 1(b) solely for the Project objectives described in Exhibit B (and Exhibit D if applicable), attached hereto and by this reference incorporated herein. Contractor shall perform services as described in Exhibit D in consideration of the payments set forth in Paragraph 4(b).
