REV: 12-21-22 SK <br />WHEREAS, the Parties have now agreed to extend the time for performance for the <br />Agreement regarding CDBG funds for disposition costs as described in the Fifth Amendment from <br />June 30, 2022 to December 31, 2022, as provided below in this Sixth Amendment. <br />NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS: <br />1. General. The Recitals, and defined terms therein, are incorporated herein by this <br />reference as though fully set forth herein. Any capitalized term not otherwise defined in this Sixth <br />Amendment shall have the meaning provided for that term in the Agreement. <br />2. Amendments to Paragraph 1 – Financial Assistance. This Sixth Amendment <br />hereby modifies subparagraph (c). For clarity, additions are indicated by underlining and deletions <br />are indicated by strikethroughs: <br />1. FINANCIAL ASSISTANCE <br />(c) City will allocate to Contractor the sum of Two Hundred Thousand <br />and no/100 dollars ($200,000) for exclusive use by Contractor during the <br />fiscal year commencing July 1, 2020 and ending June 30, December 31, <br />2022, solely for the purposes described in Paragraph 3(c). <br />3. Amendments to Paragraph 4 – Payments. This Sixth Amendment hereby <br />modifies subparagraph (c). For clarity, additions are indicated by underlining and deletions are <br />indicated by strikethroughs: <br />4. PAYMENTS <br />(c) No more frequently than monthly, Contractor may submit expense <br />documentation, including invoice(s), proof(s) of payment and a schedule of <br />expenditures including sources and uses, in form and substance <br />reasonably satisfactory to City’s Housing Leadership Manager for payment <br />in accordance with provisions of “Revised Exhibit E.” Provided that the <br />Contractor has complied with all conditions precedent, the City shall pay to <br />Contractor up to a total of $200,000 within 30 days of receiving each <br />payment request. City shall not be obligated to pay Contractor for the <br />services covered by an invoice if Contractor presents the invoice to City on <br />or after June 30, December 31, 2022. <br />4. No Other Modifications. Except as specifically modified herein, the Agreement <br />remains in full force and effect. To the extent that any provision of this Sixth Amendment conflicts <br />with any provisions of the Agreement, this Sixth Amendment shall control. <br />5. Miscellaneous. The individuals executing this Sixth Amendment and the <br />instruments referenced in it on behalf of Contractor each represent and warrant that they have <br />the legal power, right and actual authority to bind Contractor to the terms and conditions of this <br />Sixth Amendment. Paragraph headings and sub-Paragraph headings as used herein are for <br />convenience only and will not be deemed to alter or modify the provisions of the Paragraphs or <br />sub-Paragraphs headed thereby. <br />ATTY/AGR.2022/Amend.
