8.A. - Page 144 <br /> Schedule 1 <br /> Seller. Should taxes or assessments be levied upon any interest in this License, Seller agrees to <br /> pay all lawful taxes, assessments or charges created by this License. <br /> 16. Continuing Liability <br /> 16.1 No termination of this License shall release the Seller from any liability or <br /> obligations hereunder resulting from any acts, omissions or events happening prior to the <br /> termination of this License and restoration of the Site to its prior condition. <br /> 17. Attorneys' Fees <br /> 17.1 In the event of a dispute between the Parties with respect to the terms or condition <br /> of this License, it is agreed that each Party, including the prevailing Party,must bear its own costs <br /> and reasonable attorneys' fees as established by the judge or arbitrator presiding over such dispute. <br /> 18. Assignment <br /> 18.1 Seller shall not sell, transfer or assign the Seller's rights and obligations under this <br /> License, or any interest in this License, without the prior written consent of Buyer, except as may <br /> be permitted with regards to assignment concurrently with the Agreement, in which case any <br /> proposed sale,transfer or assignment of Seller's rights and obligations under this License must be <br /> carried out in accordance with Section 12 of the Agreement. <br /> 19.
