8.A. - Page 14 <br /> to take advantage of any other law relating to bankruptcy, insolvency, reorganization, <br /> winding up, or composition or readjustment of debts; or (vi) taken any corporate or <br /> other action for the purpose of effecting any of the foregoing; or <br /> (b) a proceeding or case has been commenced without the application or consent of such <br /> Party in any court of competent jurisdiction seeking (i) its liquidation, reorganization, <br /> dissolution or winding-up or the composition or readjustment of debts or, (ii) the <br /> appointment of a trustee,receiver,custodian, liquidator or the like of such Party under <br /> any bankruptcy law, and such proceeding or case has continued undefended, or any <br /> order,judgment or decree approving or ordering any of the foregoing shall be entered <br /> and continue un-stayed and in effect for a period of sixty(60) days. <br /> 1.9 "Business Day" means any day other than a Saturday, Sunday, public holidays recognized <br /> by California governmental entities or any other day on which banking institutions in <br /> California are required or authorized by Applicable Law to be closed for business. <br /> 1.10 "Buyer Act" means (i) an act of Buyer to repair the Project Site or the Project Site roof(as <br /> the case may be)for any reason not directly related to damage caused by the Facility, and <br /> such repair requires the partial or complete temporary disassembly or movement of the <br /> Facility, or (ii) any act or omission of Buyer or Buyer's employees, Affiliates, agents, or <br /> subcontractors that results in a disruption or outage in Facility production. <br /> 1.11 "Buyout Date" has the meaning assigned to it in Section 2.2. <br /> 1.12 "Buyout Payment" has the meaning set forth in Section 2.2 <br /> 1.13 "Buyer Address for Payments" means the address to which invoices to the Buyer should <br /> be sent,currently: <br /> City of Redwood City <br /> Attention: City Manager's Office (Attn:Vicki Sherman) <br /> 1017 Middlefield Road <br /> Redwood City, California 94063 <br /> 1.14 "Buyer Address for Notices" means the addresses to which notices to the Buyer should be <br /> sent as set forth in Schedule 3 of this Agreement. <br /> 1.15 "Buyer Default" —has the meaning set forth in Section 10.3. <br /> 1.16 "California Renewables Portfolio Standard" means the California Public Utilities <br /> Commission program that requires investor-owned utilities,electric service providers,and <br /> community choice aggregators to increase procurement from eligible renewable energy <br /> resources to 33%of total procurement by 2020. <br /> 1.17 "California Solar Initiative" means the program providing ratepayer funded incentives for <br /> eligible solar energy systems adopted by the California Public Utilities Commission and <br /> ATTy/AGR/2015.012/POWER PURCHASE AGREEMENT-CD SOLAR ONE LLC <br /> REV:01-21-15 MLG <br /> Page 6 of 55 <br />
