8.A. - Page 21 <br /> 1.82 "Prudent Industry Practice" means those practices, methods and equipment, as changed <br /> from time to time,that: (i)when engaged in,or employed,are commonly used in the State <br /> of California in prudent electrical engineering and operations to operate electricity <br /> equipment lawfully and with safety, reliability, efficiency and expediency; or (ii) in the <br /> exercise of reasonable judgment considering the facts known, when engaged in could <br /> have been expected to achieve the desired result consistent with applicable law, safety, <br /> reliability, efficiency, and expediency. Prudent Industry Practices include but are not <br /> limited to an optimum practice, method, selection of equipment or act. <br /> 1.83 "Renewable Energy Credit" has the meaning set forth in California Public Utilities Code <br /> section 399.12(h) as may be amended from time to time or as further defined or <br /> supplemented by applicable law. <br /> 1.84 "Renewal Term" has the meaning set forth in Article 2.1. <br /> 1.85 "Requirements of Law" means, collectively, any federal or state law, treaty, franchise, <br /> rule, regulation, order,writ,judgment, injunction,decree, award or determination of any <br /> arbitrator or a court or other Governmental Authority, in each case applicable to or <br /> binding upon Seller or Buyer or any of their property or to which Seller or Buyer or any of <br /> their respective properties are subject. <br /> 1.86 "Schedule" "Scheduled" or "Scheduling" means the actions of Seller, Buyer and /or their <br /> designated representatives, including each Party's Local Electric Utility, if applicable, of <br /> notifying, requesting and confirming to each other the quantity of Energy to be delivered <br /> for each interval on any given day on which the delivery of Energy is scheduled to occur <br /> during the Term at the Delivery Point. <br /> 1.87 "Seller" has the meaning set forth in the first paragraph of this Agreement, and for <br /> purposes of access rights and other rights necessary for Seller to perform its obligations <br /> hereunder, the term "Seller" includes Seller's authorized agents, contractors and <br /> subcontractors. <br /> 1.88 "Seller Address" means City Hall, 1017 Middlefield Road, Redwood City, CA 94063. <br /> 1.89 'Seller Default" has the meaning set forth in Section 10.2(a). <br /> 1.90 "Seller's Project Management Team" means individuals identified by Seller as responsible <br /> for oversight and contract management of all phases of project design/build, operations, <br /> maintenance,verification and billing account management. <br /> 1.91 "Solar Insolation" means the amount of solar energy in kWh per square meter falling on <br /> a particular location. <br /> 1.92 "Substantial Completion" means when (i) installation of all necessary components and <br /> systems of a Facility(except for completion of painting,final grading, and similar portions <br /> of the construction work not affecting the operability,safety,or mechanical and electrical <br /> ATTY/AGR/2015.012/POWER PURCHASE AGREEMENT-CEI SOLAR ONE LLC <br /> REV:01-21-15 MLG <br /> Page 13 of 55 <br />
