8.A. - Page 54 <br /> three (3) days after being sent by registered or certified mail, return receipt requested; <br /> one (1) day after being sent by overnight carrier; or upon email confirmation to sender of <br /> receipt of a facsimile communication which is followed by a mailed hard copy from <br /> sender. Notices shall be addressed to: <br /> Buyer: As listed in Schedule 3 of this Agreement <br /> Seller: As listed in Schedule 3 of this Agreement <br /> Each party may designate a different person and address by sending written notice to the <br /> other party, to be effective no sooner than ten (10) days after the date of the notice. <br /> 13.2 COMPLIANCE WITH ALL LAWS <br /> The Parties shall at all times comply with all applicable laws, ordinances, rules and <br /> regulations. The Parties shall keep themselves fully informed of Buyer's charter, codes, <br /> ordinances and regulations and of all state, and federal laws in any manner affecting the <br /> performance of this Agreement, and must at all times comply with all applicable local <br /> codes, ordinances, and regulations and all applicable laws as they may be amended from <br /> time to time. Seller shall procure and maintain all Permits necessary for performance of <br /> this Agreement,and shall pay its respective charges and fees in connection therewith. <br /> 13.3 NO DEDICATION <br /> Any undertaking by one Party to the other under any provision of this Agreement shall <br /> not constitute the dedication of the Generating Facility or any portion thereof to the <br /> public or to any portion thereof. <br /> 13.4 NON-WAIVER OF RIGHTS <br /> Waivers of any rights hereunder must be in writing and shall not be implied from <br /> performance or usage of trade.The failure of either party to this Agreement to enforce or <br /> insist upon compliance with or strict performance of any of the terms or conditions <br /> hereof, or to take advantage of any of its rights hereunder, shall not constitute a waiver <br /> or relinquishment of any such terms, conditions or rights, but the same shall be and <br /> remain at all times in full force and effect. <br /> 13.5 HEADINGS <br /> All titles, subject headings, Article titles and similar items are provided for the purpose of <br /> reference and convenience and are not intended to be inclusive,definitive or to affect the <br /> meaning of the contents or scope of this Agreement. <br /> 13.6 NO THIRD PARTY BENEFICIARY <br /> ATTY/AGR/2015.012/POWER PURCHASE AGREEMENT-CE!SOLAR ONE LLC <br /> REV:01-21-15 MLG <br /> Page 46 of 55 <br />
