8.A. - Page 57 <br /> 13.15 COOPERATION <br /> The Parties agree to reasonably cooperate with each other in the implementation and <br /> performance of this Agreement. Such duty to cooperate shall not require either Party to <br /> act in a manner inconsistent with its rights under this Agreement. <br /> 13.16 NECESSARY ACTS AND FURTHER ASSURANCES <br /> The Parties shall at their own cost and expense execute and deliver such further <br /> documents and instruments and shall take such other actions as may be reasonably <br /> required or appropriate to evidence or carry out the intent and purposes of this <br /> Agreement. Buyer shall provide Seller estoppels certificates confirming the status of this <br /> Agreement and acknowledging that Buyer has no rights in the Generating Facility. Buyer <br /> shall obtain, and pay any costs to obtain,all consents required for Buyer to enter into and <br /> perform its obligations under this Agreement from Buyer's lenders,landlords and tenants, <br /> if any, and those of any other persons with interests in Buyer's real property upon which <br /> Seller's personal property is located. These consents shall include estoppels certificates <br /> which recognize the rights of Seller, Seller's Financing Parties, and Seller and Seller's <br /> Financing Parties' assignees and successors under this Agreement. <br /> 13.17 CONSTRUCTION <br /> The Parties acknowledge that this Agreement was jointly prepared by them, by and <br /> through their respective legal counsel, and any uncertainty or ambiguity existing herein <br /> shall not be interpreted against either Party on the basis that the Party drafted the <br /> language, but otherwise shall be interpreted according to the application of the rules on <br /> interpretation of contracts. <br /> 13.18 ENTIRE AGREEMENT, INTEGRATION/MERGER CLAUSE <br /> This Agreement, together with all Exhibits and schedules attached hereto, constitute the <br /> entire agreement between the Parties and supersedes any and all prior oral or written <br /> understandings. No amendment,addition to or modification of any provision hereof shall <br /> be binding upon the Parties, and neither Party shall be deemed to have waived any <br /> provision or any remedy available to it, unless such amendment, addition, modification <br /> or waiver is in writing and signed by a duly authorized officer or representative of the <br /> Parties. <br /> 13.19 NON-DISCRIMINATION <br /> Seller shall comply with all applicable Federal, State, and local laws and regulations <br /> including Buyer's policies concerning nondiscrimination and equal opportunity in <br /> contracting. Such laws include but are not limited to the following: Title VII of the Civil <br /> Rights Act of 1964 as amended;Americans with Disabilities Act of 1990;The Rehabilitation <br /> Act of 1973 (Sections 503 and 504); California Fair Employment and Housing Act <br /> ATTY/AGR/2015.012/POWER PURCHASE AGREEMENT-CEI SOLAR ONE LLC <br /> REV:01-21-15 MLG <br /> Page 49 of 55 <br />
