Schedule 1: Grant of Access Ri�hts <br /> Location of Site: Red Morton <br /> Community Center, 1120 <br /> Roosevelt Avenue,Redwood <br /> City, CA 94061 <br /> Agency: City of Redwood City <br /> RIGHT OF ENTRY FOR CONSTRUCTION AND MAINTENANCE <br /> This Right of Entry for Construction and Maintenance Agreement(this"License")is made <br /> and entered into this day of , 2015 (the "Effective Date"), by and between the <br /> City of Redwood City as licensor(`Buyer"), and CEI Solar One, LLC as licensee ("Seller"). City <br /> of Redwood City and CEI Solar One, LLC are sometimes individually referred to as "Party" and <br /> collectively as "Parties". <br /> RECITALS <br /> WHEREAS, Reference is made to the Power Purchase Agreement dated as of <br /> (the"Agreement")and entered into by and between the undersigned the City of <br /> Redwood City("Buyer")and CEI Solar One,LLC ("Seller"),pursuant to which Seller will install, <br /> finance, operate, and maintain a solar photovoltaic system at 1120 Roosevelt Avenue(the"Site"); <br /> and <br /> WHEREAS, capitalized terms used herein but not defined herein shall have the meaning <br /> set forth in the Agreement. <br /> By our signature below, we hereby grant to Seller and to Seller's agents, employees, <br /> contractors and subcontractors, commercial access rights during the Term of this License (the <br /> "Access Rights"),we further acknowledge and agree that: <br /> WITNESSETH <br /> NOW THEREFORE,FOR AND IN CONSIDERATION of the mutual Agreements by <br /> the Parties set forth herein and other good and valuable consideration, this License is subject to <br /> the following terms and conditions: <br /> Schedule 1 Page � 1 <br />
