�, � <br /> � <br /> AGREEMENT <br /> This Agreement, made and entered into this day of , <br /> 2000, at Redwood City, California, by and between the City of Redwood City, a <br /> municipal corporation of the State of California, and RCN Telecom Services of <br /> California, Inc., a subsidiary of RCN Corporation, a Delaware Corporation. <br /> RECITALS <br /> 1. The City of Redwood City, pursuant to Federal and California law, <br /> is authorized to grant one or more non-exclusive revocable franchises to <br /> operate, construct, maintain and reconstruct a Cable System within the City; and <br /> 2. The City, after due evaluation of RCN Telecom Services of <br /> California, Inc., and after public hearings, has determined that it is in the best <br /> interests of the City and its residents to grant this Franchise to RCN Telecom <br /> Services of California, Inc. <br /> 3. NOW, THEREFORE, the City of Redwood City (hereinafter the <br /> "Grantor") hereby grants to RCN Telecom Services of California, Inc. (hereinafter <br /> the "Grantee") this Cable System Franchise in accordance with the provisions of <br /> applicable Federal and California law and this Agreement. <br /> SECTION 1 DEFINITIONS <br /> For the purposes of this Agreement, the following terms, phrases, words <br /> and their derivations shall have the meaning given herein. Words used in the <br /> present tense include the future, words in the plural number include the singular <br /> number, and words in the singular number include the plural number.
