Exhibit A <br /> Governance Structure <br /> Redwood City 2020 uses a finro-tiered governance model described below: <br /> Redwood City 2020 Leadership Council <br /> Role: Serves as the policy-making body for the collaborative, and takes action after receiving <br /> information and recommendations from the Executive Team and the Redwood City 2020 <br /> Executive Director.The Leadership Council creates vision,approves the appointment/termination <br /> of the Executive Director, approves the annual budget, approves program initiatives, approves <br /> monitoring and evaluation of program implementation, and provides resources to sustain and <br /> grow the work of the collaborafive. In addition, the Leadership Council seeks resources and <br /> provides the forum in which issues impacting the community senred by Redwood City 2020 can <br /> be raised and addressed in collaborative manner. <br /> Membership: Each Redwood City 2020 partner organization contributes at least $25,000 per <br /> year to support the collaborative and is entitled to have up to two members from the policy body <br /> of its organization to serve on the Leadership Council. These members should be elected or <br /> appointed directors, or have equivalent policy level responsibility in their respective organization. <br /> Structure: The Leadership Council will annually select a Chair from its members, who will be <br /> responsible for leading the meetings of the Leadership Council, serving as liaison between the <br /> Leadership Council and the Executive Team, and working with the Executive Director to devebp <br /> meeting agendas. This position will rotate among partner organizations on an annual basis every <br /> July, the beginning af the fiscal year. <br /> Meeting:The Leadership Council will meet four(4)times annually, in August, October, February, <br /> and May, from 9:00 — 10:30 A.M. at the Redwood City Public Library, Community Room. The <br /> Leadership Council may choose to have one of these meetings designated as a "joint policy <br /> meeting," in which the Redwood City 2020 Executive Team and Leadership Council will meet <br /> together. The Leadership Council may choose to convene a meeting of the community and <br /> program partners that woric in Redwood City 2020 priority areas to share information and receive <br /> input about community needs. <br /> The dates selected for Leadership Council meetings for 2014-2015 include: <br /> Wednesday, August 13, 2014 from 9AM-10:30AM (Joint Policy Meeting) <br /> Wednesday, October 8, 2014 from 9AM-10:30AM <br /> Wednesday, February 11, 2015 from 9AM-10:30AM <br /> Wednesday, May 20, 2015 from 9AM-10:30AM <br /> ATTY/AGR/2014.239/MEMBERSHIP AGREEMENT HEALTH SYSTEM 2014-2015 <br /> REV:11-06-14 MLG <br /> Page 5 of 8 <br />
