<br /> COUNTY SUPERINTENDENT OF SCHOOLS AND THE CITY OF
<br /> OFFICE OF REDWOOD CITY FOR SAN MATEO COUNTY CHILD
<br /> EDUCATION CARE PARTNERSHIP COUNCIL SERVICES

<br /> I. PURPOSE OF AGREEMENT
<br /> THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership Council
<br /> (CCPC),the Local Child Care Planning Council for San.Mateo County, and entered into by and between
<br /> the San Mateo County Superintendent of Schools ("County Superintendent")as lead agency and fiscal
<br /> designee and the City of Redwood City, a charter city and municipal corporation of the State of
<br /> California("City") for the purpose of funding costs for activities in support of the Child Care
<br /> Partnership Council.
<br /> The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the Child Care
<br /> Partnership Council. The City has been selected by the County Superintendent to receive funds in order
<br /> to provide the services detailed in the attached Scope of Work(Attachment A) in support of the work of
<br /> the Child Care Partnership Council. Funding for this agreement is contingent upon completion of all
<br /> required responsibilities (See Sections 2 and 3 below)in a manner that is both timely and in compliance
<br /> with the terms of the Agreement.
<br /> II. COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br /> It is agreed between the County Superintendent of Schools and the City as follows:
<br /> 1. Term of Agreement
<br /> The term of this Agreement shall be from July 1, 2015 to June 30,2016.
<br /> 2. Payments
<br /> The County Superintendent shall issue payment to the City in an amount not to exceed sixty-seven
<br /> thousand, four hundred twenty dollars($67,420)for the Services (personnel costs$65,520 and other
<br /> expenses of$1,900).Personnel costs are charged at$63.00 hourly for 1,040 hours(equivalent to .50
<br /> FTE for 52 weeks). Payments will be made to City on a quarterly basis for actual expenditures and
<br /> based upon invoices submitted to the County Superintendent by City and in accordance with the
<br /> Budget(Attachment B). Any change in this agreement will occur only upon mutual written
<br /> agreement of both Parties.
<br /> 3. Hold Harmless
<br /> The County Superintendent shall defend, indemnify,and save harmless the City, its council, boards,
<br /> commissions, officers,employees and agents,from and against any and all claims, suits, actions
<br /> liability, loss, damage, expense, cost(including, costs and fees of litigation) of every nature,kind or
<br /> description, which may be brought against, or suffered or sustained by City, its council,boards,
<br /> commissions, officers, employees or agents to the extent such claims, suits, actions,liability, loss,
<br /> damage,expense, cost (including costs and fees of litigation) of every nature,kind or description
<br /> which may be brought against,or suffered or sustained by City, its council,boards,commissions,
<br /> officers,employees or agents are caused by the negligent act or omission, intentional tortious act or
