DocuSign Envelope ID: 622F9B91-F251-4556-89A3-20022BOEDD33 <br />ORIGINAL <br />AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR <br />CLAIMS ADMINISTRATION SERVICES <br />YORK RISK SERVICES GROUP, INC. <br />This Amendment No. 2 is entered into and effective as of the 1st day of July, 2019, <br />extending and amending the agreement dated July 1, 2015 by and between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City"), <br />and York Risk Services Group, Inc., a New York corporation ("Consultant") (collectively, <br />the "Parties") for workers' compensation claims administration services. <br />RECITALS <br />A. On June 9, 2015, the Parties executed an Agreement for Claims <br />Administration Services ("Original Agreement"); and <br />B. On July 1, 2018, the Parties executed Amendment No. 1 to the Agreement <br />("Amendment No. 1"; the Original Agreement and Amendment No. 1 are collectively <br />referred to herein as the "Agreement"); and <br />C. The Parties have negotiated and agreed to amendments described below. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of one year ending on June 30, 2020 and Consultant will be <br />paid a not to exceed amount of Three Hundred Seventy -Six Thousand Thirteen Dollars <br />($376,013) for this extension term. With this Amendment, the total Agreement amount <br />shall not exceed One Million Eight Hundred Eleven Thousand Seven Hundred Thirty - <br />Three Dollars ($1,811,733). <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by the Consultant pursuant <br />to the Agreement, as may have been amended from time to time, will include coverage <br />for this Amendment. <br />4.
