ORIGINAL <br />AMENDMENT NO.2 TO AMEND AGREEMENT FOR BUSINESS LICENSE <br />COMPLIANCE AND REVENUE ENHANCEMENT SERVICES <br />(MuniServices, LLC) <br />This Amendment No. 2 is entered into and effective as of the 301*day of July, <br />2019, extending and amending the agreement dated July 16, 2015,"" by and between <br />the City of Redwood City, a charter city and municipal corporation of the State of <br />California ("City"), and "MuniServices, LLC, a Delaware limited liability company <br />("Consultant'), (collectively, the "Parties") for professional services. <br />RECITALS <br />A. On July 16, 2015, the Parties entered into an Agreement for Business <br />License Compliance and Revenue Enhancement Services (the "Original Agreement"); <br />and <br />B. The initial term of the Original Agreement was for a three (3) year period <br />with the option to extend the term for two (2) additional one (1) year periods thereafter, <br />and <br />C. The Parties extended and ""continued providing and paying for services <br />from July 16, 2018, under a verbal understanding and agreement; and <br />D. On January 4, 2019, the parties executed Amendment No. 1 to the <br />Agreement for Business License Compliance and Revenue Enhancement Services to <br />memorialize the extension of the Original Agreement to July 15, 2019 ("Amendment No. <br />1"; the Original Agreement and Amendment No. 1 are collectively referred to herein as <br />the "Agreement"); and <br />E. The Parties have negotiated and agreed to extend the Agreement for an <br />additional period of one (1) year. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement is hereby extended for a period of one (1) year <br />ending on July 15, 2020, and Consultant will be paid a not to exceed amount of One <br />Hundred Thousand Dollars ($100,000.00) for an aggregate amount of $500,000.00. <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement will include coverage for this Amendment. <br />4.
