19.3 Contractor agrees upon reasonable notice to maintain and provide to <br /> County, to any Federal or State department having monitoring or review <br /> authority, to County's authorized representatives, and/or to any of their <br /> respective audit agencies access to and the right to examine all records <br /> and documents necessary to determine compliance with relevant <br /> Federal, State, and local statutes, rules, and regulations, to determine <br /> compliance with this Services Agreement, and to evaluate the quality, <br /> appropriateness, and timeliness of services performed. <br /> 19.4 All books, records, reports and accounts maintained pursuant to this <br /> Services Agreement as related to Contractor's activities under this <br /> Services Agreement shall be open to inspection and audit by the County <br /> or a designated representative, and by representatives of the state and <br /> federal government, upon reasonable notice during normal business <br /> hours throughout the life of this Services Agreement and for a period of <br /> four (4) years thereafter. <br /> 19.5 Contractor shall use all commercially reasonable efforts to achieve <br /> economy, efficiency and effectiveness in performance of the services <br /> provided. Contractor and County will meet on occasion, as requested by <br /> County, but not to exceed more than once per year, to consider revisions <br /> which may be needed to the reporting forms created to document <br /> performance of the services provided. At any time during the term of this <br /> Services Agreement, County may request additional detailed information <br /> of one or more services performed for the purpose of a performance <br /> audit. The County shall make every effort to follow Generally Accepted <br /> Government Auditing Standards (GALAS). The Contractor shall not <br /> unreasonably deny such requests under this intent. County may not <br /> require additional information of Contractor which Contractor, in its sole <br /> discretion, knows to be unduly burdensome to provide and/or which will <br /> interfere with the operations of Contractor's programs and services <br /> including such programs and services which are not covered by this <br /> Services Agreement. <br /> 20. Merger Clause & Amendments <br /> This Services Agreement, including the Exhibits and Attachments attached to this <br /> Services Agreement and incorporated herein by reference, constitutes the sole Services <br /> Agreement of the parties to this Services Agreement and correctly states the rights, duties, <br /> and obligations of each party as of this document's date. In the event that any term, <br /> condition, provision, requirement, or specification set forth in the body of this Services <br /> Agreement conflicts with or is inconsistent with any term, condition, provision, <br /> requirement, or specification in any Exhibit and/or Attachment to this Services Agreement, <br /> the provisions of the body of this Services Agreement shall prevail. Any prior agreement, <br /> promises, negotiations, or representations between the parties not expressly stated in this <br /> document are not binding. All subsequent modifications or amendments shall be in writing <br /> February 5,2015 -16- <br /> 1 <br />
