AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR PROFESSIONAL SERVICES (Management Partners, Inc.) hi em m �t No. 1 is entered into and effective as of the�� day of , 2016, extending and amending the agreement dated June 18, 15 and b tween the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Management Partners, Inc., ("Consultant") (coll ctively, the "Parties") for project management assistance. RECITALS A. On June 18, 2015, the Parties executed that certain Agreement for Professional Services ("Original AgreemenY'); and B. By letter agreement dated August 28, 2015, the Parties agree to a "Revised Scop� of Services for Additional Tasks" ("Letter Agreement"); and C. The Parties have negotiated and agreed to amendments attached to and incorporated in by reference as Exhibit "A," Scope of Services. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The Scope of Services set forth in Exhibit "A" of the Original Agreement, as revised in the Letter Agreement, is hereby deleted in its entirety and shall be replaced with the Scope of Services set forth in Exhibit "A" attached hereto and made a part hereof 2. Consultant will complete all work described in Exhibit "A" by June 30, 2016. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
