Tim <br /> 2016 , extending and amending the agreement dated July 18 , 2015 <br /> by and be een e City of Redwood City, a charter city and municipal corporation of <br /> the State of California ("City") , and Management Partners , Inc. ("Consultant") <br /> (collectively, the "Parties") for management assistance. <br /> RECITALS <br /> A. On July 18 , 2015 , the Parties executed the Agreement for Professional <br /> Services ("Original Agreement") ; and <br /> B . By letter agreement dated August 28, 2015 , the Parties agreed to a "Revised <br /> Scope of Services for Additional Tasks" ("Letter Agreement") ; and <br /> C . On February 22 , 2016 , the Parties executed Amendment No . 1 to Extend and <br /> Amend Agreement for Professional Services ("Amendment No. 1 ") ; and <br /> D . On July 7 , 2016, the Parties executed Amendment No . 2 to Extend and <br /> Amend Agreement for Professional Services ("Amendment No . 2") (the Original <br /> Agreement, Letter Agreement, Amendment No . 1 , and Amendment No . 2 are <br /> collectively referred to as the "Agreement") ; and <br /> E. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," <br /> N OW, THEREFORE , in consideration of these recitals and the mutual covenants <br /> contained herein , the Parties agree as follows: <br /> 1 . In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." <br /> 2 . Consultant will complete all work described in Exhibit "A" by April 30, <br /> 2017. <br /> 3. All other provisions of the Agreement will remain in full force and effect. <br /> 4. All requisite insurance policies to be maintained by the Consultant <br /> pursuant to the Agreement, as may have been amended from time to time, shall include <br /> coverage for this Amendment. <br /> 5 .
