the City either by way of reimbursement to Developer(in accordance with Section 5)or thrnugh <br /> the City's contract for and peiformance of the work to address the Unanticipated Conditions. <br /> 4.5 Develaper shall be responsible for and not entitled to reimbursenient from the <br /> City for Public Benefit Improvement costs in excess of the Project Budget Costs; provided, <br /> however, Developer shall be entitled to reimbursement from the City for Public Benefit <br /> Improvement costs in e�ccess of Project Budget Costs due to City Change Orders and/or <br /> Unanticipated Canditions as set forth in Section 4.3. <br /> 4.6 The Project Budget Costs, the City Change Order costs, and the Unanticipated <br /> Condition costs are collectively refened to as the"Reimbursable Costs." <br /> Section 5. Developer Reimbursement. <br /> Developer shall submit service provider, contractor and consultant invoices for the <br /> Reimbursable Costs to the Community Development Director for payment,a capy of which shall <br /> be sent concurrently to the Notice parties listed in Section 8 below, including the City Project <br /> Manager(a"Reimbwsement Claim'�. All Reimbursement Claims shall be delivered to the City <br /> pursuant to Section 7 of this Agreement. The City shall have ten (10) Business Days from <br /> receipt of such Reimburseinent Claim to object, in writing to Developer,to such Reimbursement <br /> Claim (the "Objection Notice'�. If the City does not timely deliver such Objection Notice, on <br /> tlie eleventh (l lth}Business Day following receipt of such Reimbucsement Claimy the City will <br /> commence processing the payment to Developer. City sha11 deliver payment to Developer in <br /> accordance with the City Finance Department payment cycle,wlrich in no event shall eiccced 45 <br /> from City's receipt of Developer's Reimbursement Claim. If the City Project Manager disputes <br /> only a portion of a Reimbursement Claim, the Objection Notice shall set forth with specificity <br /> the portion of the Reimbursement Claim in dispute (including the dollar amount), and the City <br /> will proceed with pr�ncessing payment for the portion of the Reimbursement Claim that is not at <br /> issue.
