ORIGINAL AMENDMENT NO.1 TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES [Overland Pacific Cutler (Formerly Cutler & Associates)] dhiS Amendment No.1 is entered into and effective as of the ~ay of \J Y\.e. ,2004, amending the agreement dated October 23, 2002 (the "Agreement") by and between the City of Redwood City Redevelopment Agency, a public body, corporate and politic ("Agency"), and Overland Pacific Cutler (formerly Cutler & Associates), ("Consultant") (collectively, the "Parties") for professional consulting services related to land acquisition and other related real estate services. RECITALS A. On August 11, 2003 the Agency approved an Assignment and Assumption Agreement for the Agreement to be assigned from Cutler and Associates to Consultant; and B. Pursuant to the Agreement, Consultant has worked to relocate the majority of the subject businesses and settle the valuation claims on the majority of the subject properties; and C. Settlements have not yet been reached with four businesses andlor property owners and litigation is pending; and D. It is therefore necessary to amend the Agreement to allow for continued support of these pending proceedings; and E. The Parties have negotiated and agreed to a supplemental compensation amount to allow for continued support of these pending proceedings. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. the Agreement will be amended to increase the not to exceed total compensation amount by one hundred thousand dollars ($100,000). 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. /II /II Atty/Agr/OPC Amendment No.1 050304 1 -
