<br /> omission of the Developer arising from or related to this <br /> Agreement. <br /> Section 18. Successors and Assigns. This Agreement <br /> shall not be assigned by the Developer without the prior written <br /> consent of the Agency, which consent shall be in the Agency's sole <br /> discretion. <br /> Section 19. Counterparts. This Agreement may be <br /> executed in counterparts, each of which shall be deemed to be an <br /> original. <br /> Section 20. Incorporation of Exhibits. Each of the <br /> exhibits attached to this Agreement is hereby incorporated by <br /> reference as though fully set forth word for word. <br /> Section 21. Riqhts of Access. During the Term, the <br /> Developer and its employees, agents or representatives, shall have <br /> the right of reasonable access to the Property during normal <br /> business hours for the purposes of inspecting the Property and <br /> undertaking any environmental assessments and/or soils tests <br /> necessary to ensure that the Property is suitable for its intended <br /> use. The Agency may impose reasonable conditions on such access. <br /> The Developer shall indemnify and hold the Agency harmless from any <br /> injury, property damage or liability arising out of the exercise by <br /> the Developer of this right of access, other than injury, property <br /> damage or liability relating to the negligence of the Agency or its <br /> officers, agents or employees. <br /> 7 <br /> . <br />
