<br />Community Parcel and the Habitat Parcel. Said parcel map will <br />establish the exact boundaries of the individual parcels. The <br />parties further acknowledge that a general plan amendment, a zoning <br />map change and a precise plan are required from the City in order <br />for the Project to be constructed. <br /> Section 7. Disposition and Development Aqreement. If <br />the Agency and the Developer are able to agree upon the terms of a <br />DDA (and the terms of a DDA with First Community), the Agency will <br />cause the preparation thereof, and the DDA, after execution by the <br />Developer, shall be submitted to the Board of the Agency for <br />consideration, after any required public notices have been given. <br />Any action by the Board of the Agency to approve or disapprove the <br />DDA shall terminate this Agreement. <br /> Section 8. Developer's Disclosure ObliGations. The <br />Developer shall disclose to the Agency the following information: <br /> a. All principals, officers, partners, joint <br />venturers, employees, associates and affiliates of the Developer <br />(i) who are participants or principals in the Developer, (ii) who <br />have or will have after the transfer of the Habitat Parcel to the <br />Developer any economic interest in this Agreement, the proposed <br />DDA, the Project or any of the Property, or (iii) who have a family <br />or other material relationship with any official, elected or <br />appointed, or any other employee of the City or the Agency. <br /> b. The Developer shall provide the Agency with <br />pertinent information regarding any contemplated sources of funds <br />for the development of the Project, whether from commercial <br />lenders, private parties, governmental programs or otherwise, and <br />upon which the Developer will rely in planning, designing, <br />developing and/or constructing the Project. <br /> c. The Developer will disclose to the Agency any <br />and all other information that would reasonably bear upon or affect <br />the decisions of the Agency or the Board in negotiating or <br />approving the DDA, including, without limitation, any financial <br />information concerning the Developer that would affect the <br />Developer's ability to perform its obligations under this Agreement <br />or the proposed DDA. <br /> Section 8. Environmental Compliance. The Project is <br />or may be subject to the California Environmental Quality Act <br />("CEQA"), and nothing contained herein shall be deemed a <br /> 4 <br /> . .. . <br />
