<br />omission of the Developer arising from or related to this <br />Agreement. <br /> Section 18. Successors and Assiqns. This Agreement <br />shall not be assigned by the Developer without the prior written <br />consent of the Agency, which consent shall be in the Agency's sole <br />discretion. <br /> Section 19. Counterparts. This Agreement may be <br />executed in counterparts, each of which shall be deemed to be an <br />original. <br /> Section 20. Incorporation of Exhibits. Each of the <br />exhibits attached to this Agreement is hereby incorporated by <br />reference as though fully set forth word for word. <br /> Section 21. Riahts of Access. During the Term, the <br />Developer and its employees, agents or representatives, shall have <br />the right of reasonable access to the Property during normal <br />business hours for the purposes of inspecting the Property and <br />undertaking any environmental assessments and/or soils tests <br />necessary to ensure that the Property is suitable for its intended <br />use. The Agency may impose reasonable conditions on such access. <br />The Developer shall indemnify and hold the Agency harmless from any <br />injury, property damage or liability arising out of the exercise by <br />the Developer of this right of access, other than injury, property <br />damage or liability relating to the negligence of the Agency or its <br />officers, agents or employees. <br /> 7 <br /> . <br />
