<br />ORIGINAL <br /> <br />AMENDMENT NO.2 TO AGREEMENT FOR LEGAL SERVICES <br />(Green, de Bortnowsky & Quintanilla, LLP) <br /> <br />_ ~ This Amendment No.2 is entered into and effective as of the ~ day of <br />'-.27e4Lu , 2007, amending the Amendment NO.1 dated May 28, 2004 (the <br />"Agreement") by and between the REDWOOD CITY REDEVLOPMENT AGENCY, a <br />public body corporate and politic, of the State of California (the "Agency"), and GREEN, <br />de BORTNOWSKY & QUINTANILLA, LLP, a limited liability partnership, engaged in the <br />practice of law in California ("Consultant") (collectively, the "Parties") for legal services. <br /> <br />RECITALS <br /> <br />A. On or about April 23, 2003, the Parties executed the Agreement to provide <br />legal services; and <br /> <br />B. On or about May 28, 2004, the Parties executed Amendment No. 1 to provide <br />for additional funding for redevelopment related legal services; and <br /> <br />C. The Parties have negotiated and agreed to an additional not to exceed <br />amount for further legal services. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide continued legal services. <br /> <br />2. City will pay Consultant for all work associated with those legal services in <br />an amount not-to-exceed seventy-five thousand dollars ($75,000). Consultant will <br />provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />and work performed, hourly rates, and related activities and costs for approval by City. <br /> <br />3. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />4. All requisite insurance policies to be maintained by Consultant pursuant <br />to the Agreement, as may have been amended from time to time, will include coverage <br />for this Amendment. <br /> <br />5. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br /> <br />A TTY/AGR/2007/AMEND/AMEND2GDQ <br />032207 <br /> <br />1 <br />
