THIRD-PARTY PROVIDERS � 5.1.Acquisition of Third-Party Produ�ts and Servlces. PublicStuff may offer Third-Party Applications for sale under Order Forms. Any other acquisition by the CLIENT of third-party products or services, including but not limited to Third-Parly Applications a�d implementation, customization and other consulting services,and any exchange of data between the CLIENT and any third-party provider,is solely between the CLIENT and the applicable third-party provider.PublicStuff does not warrant or suppoR third- party produds or servioes, whether or not they are designated by PublicStuff as'certfied' or otherwise, except as specfied in an Order Fomn. No purchase of third-party products or services is required to use the Senrices. 5.2. Third-Party ApplicaUons and CUENT Data. If the CLIENT installs or enables Third-Party Applications for use with Services, the CUENT acknowledges that PublicStuff may atlow providers of those Third-Party Applications to access You�Data as required for the interoperation of such Third-Party Applications with the Services. PublicStuff shall not be responsible for any disclosure, modfication or dele�on of Your Data resulting from any such access by Third-Party Application providers. The Services shall allow the CLIENT to restrid such access by restricting Use�s from installing or enabling such Third- Party Applic$tions for use wfth the Senrices. 5.3. Google 3ervtces. Service features that interoperate with Google services depend on the coMinuing availability of the Google API and program for use with the Servtces. If Googls Inc. ceases to make the Google API or program available on reasonable terms for the Services� We may cease providing such Servlce features without entitling CLIENT to any refund.credit,or o�er compensation. 6. FEES AND PAYMENT FOR PURCHASED SERVICES 6.1.Fees.CLIENT shall pay all fees specfied in Invoice Fortn. Except as otherwise specfied herein eFia aR-Afder-�e�, (i) fees are quoted and payable in United States doltars (ii) fees are based on services purchased and not adual usage, (iii) payment obligations are non-cancelable and fees paid are non- refundable, (iv) if on a User based subscription, the number of User subscriptions pur+chased cannot be decreased during the r�etevant subscription tertn. 6.2. Invoicing and Payment CLIENT will provide PublicStuff with valid and updated billing information, or with a valid purchase orcler or altemative dxument reasonably acceptable to PubticStuff. 6.3. Suspenslon of Service and Acceleration. If any amount owing by the CLIENT under this or any other agreement fo� PublicStuff services is 30 or more days overdue, PublicStuff may, without limiting PublicStufPs other rights and rernedies, accelerate Your unpaid fee obligations under such agreements so that all such obligafions become immediateiy due and payable, and suspend Our services to the CLIENT until such amounts are paid in full. 6.4. Payment Disputes. We shall not exercise Our rights under Section 6.3 (Overdue Charges) or 6.4 (Suspension of Service and Acceleration) if the applicable charges are under reasonable and good faith dispute and the CLIENT is cooperating diligently to resolve the dispute. 6.5. Taxes. Unless othervvise stated, Our fees do not include any taxes, levies, duties or similar govemmental assessments of any nature, including but not limiterl to value-added, sales, use or withholding taxes, assessable by any local, state, provincial, federal or foreign jurisdiction (collectively, " Ai'PY/AGR/2012.205/PUBLICSTUFF SUBSCRIPTION AGREEMENT RSV:12-20-12 MLG Page 3 of 10
