City and Developer entered into that certain Disposition and Development <br /> Agreement, dated as of (the "DDA "), with respect to certain real property <br /> situated in the City of Redwood City, County of San Mateo, State of California, as more <br /> particularly described on Exhibit A attached hereto (the "Site "). The Site is comprised of the <br /> Developer Property, the Public Access Parcels and the Sliver Parcel, all as described in <br /> Exhibit A. Pursuant to the DDA, the Developer has acquired the Public Access Parcels and <br /> Sliver Parcel from the City, and shall develop on the Site a retail /office building, with two (2) <br /> levels of underground parking, and landscaping and other amenities, all as more fully described <br /> in the DDA (the "Project "). <br /> 2. This Memorandum is made upon all the terms and conditions in the DDA and all <br /> of said terms and conditions are incorporated by reference herein. This Memorandum is <br /> prepared for the purpose of recordation only and shall not be construed to alter, modify, amend <br /> or supplement the DDA of which this is a memorandum. <br /> 3.
