ce "Code" means the Internal Revenue Code of 1986 and the regulations of the United States Department of the Treasury issued thereunder, as the same shall be emended from time to time, and in this regard reference to any particular section of the Code shall include reference to all successors to such section of the Code. s nt, "Consultant" means any independent consultant, consulting firm, engineer, architect, en�ineering ri•m. architectural firm, accountant or accountin6 tirm or other expert recognized to be well-quali(ied for work of the charncter required and ret�ined hy the Port to perform acts and carry out thc duties provided for such consultant in this Indenture. Contract Pavment Date "Contract P�yment Date" means any date on �vhich Contract Payments are scheduled to be paid by the Port under and pursuant to any Contract_ Contract Payments "Contract Payments" me�ns the payments scheduled to be paid by the Port under and pursuant to the Contracts, which payments are secured by a pledge of Net Revenues on a parity with the Bonds as provided herein. t t� "Contracts" means the DBW Loan CoT�tract and all other obligations of the Port authorized and executed by the Port that provide that the Contract Payments thereunder are secured by a pled�e of ihe Net Revenues on a parity with the Bonds as provided herein. Corporate Trust Office "Corporatc Trust OfTicc" mcans a corporate trust office of the Trustee, located in San Francisco,California;provided,however, for transfer, registration,exchange, paymtnt and surrender , of Bonds,such term means care of the corporate trust office of U.S. Hank't'rust National Association in St. Paul,Minnesota,or such other address as may be specitied by the Trustee in a written notice to the Port. Co�ts of Issuance "Costs of Issuance" means all items of expcnse directly or indirectly payable by or reimbursable to the Port and related to the authorization, execution, sale and delivcry of any Scries of IIonds, including but not limited to advertising and printing costs, costs of preparation and reproduction of documents, filing and recording fees, travel expenses and costs relating to rating agency meetings and other meetings conceming the Bonds, initial fees and charges of any Trustee, legel fecs and charges, fees and disbursements of consultants and professionals, finaneial advisor fees and expenses,rating agency fees,fees and charges for preparation,execution,transportation and 120h4.�229J1.000� g
