"Generally Accepted Accounting Principles" means the uniform accounting and reporting procedures prescribed by the Califomia State Controller or his or her successor for municipal corporations in the State of California, or failing the prescription of such procedures means generally accepted accounting ' principles as presented and recommended by the American Institute of Certified Public Accountants or its successor, or by the Governmental Accounting Standards Board or its successor, or by any other generally accepted authority on such principles. "Indenture" means this Indenture of Trust by and between the Trustee and the Authority, dated as of May 1, 2015 as originally executed and entered into and as it may from time to time be amended or supplemented in accordance herewith. "Independent Certified Public Accountant" means any firm of certified public accountants appointed by the Authority which is independent pursuant to the Statement on Auditing Standards No. 1 of the American Institute of Certified Public Accountants. "Information Services" means in accordance with then-current guidelines of the Securities and Exchange Commission, the Electronic Municipal Market Access System (referred to as "EMMA"), a facility of the Municipal Securities Rulemaking Board (at http://emma.msrb.org), or such service or services as the Authority may designate in a certificate delivered to the Trustee. "Interest Payment Date" means August 1, 2015 and each February 1 and August 1 thereafter. "Installment Payment Date° means the date three (3) Business Days prior to each February 1 and August 1, commencing in July 2015. "Installment Payments" mean the aggregate amount of all the payments required to be paid by the City pursuant to the Installment Purchase Contract, as set forth in Exhibit B to the Installment Purchase Contract. "Installment Purchase ContracY' means the Installment Purchase Contract, dated as of May 1, 2015, between the Authority and the City. "Moody's" means Moody's Investors Service, Inc., its successors and assigns. "Net Proceeds" means, when used with respect to any insurance or condemnation award, the proceeds from such insurance or condemnation award remaining after payment of all reasonable expenses (including attorneys' fees) incurred in the collection of such proceeds. "Nominee" means (a) initially, Cede & Co., as nominee of DTC, and (b) any other nominee of a Depository designated pursuant to Section 2.11 hereof. "Outstanding" when used as of any particular time with reference to Bonds, means (subject to the provisions of Section 8.02) all Bonds except: (1) Bonds canceled by the Trustee; (2) Bonds paid or deemed to have been paid within the meaning of Secti�n 9.01; and 5
