Attachment C S ' � — � ' �O <br /> AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br /> 2003 / 2004 Asphalt Concrete Materials <br /> Graniterock Company <br /> This Amendment No. 1 is entered into and effective as of the day of <br /> , 2004, extending and amending the agreement dated May <br /> 27, 2003 (the "Agreement") by and befinreen the City of Redwood City, a charter city and <br /> municipal corporation of the State of California ("City"), and Graniterock Company, <br /> ("Supplier") (collectively, the "Parties") for (2003 / 2004 Asphalt Concrete Materials <br /> purchase. <br /> RECITALS <br /> A. The Parties desire to alter the AgreemenYs scope of work to extend the <br /> time for one additional year pursuant to the existing terms and conditions in the original <br /> agreement; and <br /> B. The Parties desire to extend the Agreement for a period of not to exceed <br /> one year. <br /> C. The Parties have negotiated and agreed to maintain the existing price <br /> schedule, which is attached to and incorporated in by this reference as Exhibit "A," List <br /> of Materials and Prices. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of up to one year ending on June 30, 2005, and Supplier <br /> will be paid a not to exceed amount of Three Hundred Eighty-Three Thousand Six- <br /> Hundred Eighty-one dollars and Thirty Cents ($363,681.30). <br /> 2. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 3. All requisite insurance policies to be maintained by the Supplier pursuant <br /> to the Agreement, as may have been amended from time to time, will include coverage <br /> for this Amendment. <br /> 4.
