THIS AMENDED AND RESTATED AGREEMENT FOR PROFESSIONAL SERVI ES (AGREEMENT) is made and entered into as of the ) 2. day of 1 L , 2016, by and between the CITY OF REDWOOD CITY, a charter city and munici . al co &oration of the State of California ("City"), and WEST COAST CODE CONSULTA • TS, INC. a company ("Consultant"), with reference to the following facts and intentions: RECITALS A. City requires the professional services of a building inspection and plan review services consultant. B. Consultant has the necessary experience in providing such professional services and submitted a proposal to the City to provide said services. C. City selected Consultant to provide said services and the parties entered into an Agreement for Professional Services (West Coast Code Consultants, Inc.) on or about August 12, 2015, which expires on June 30, 2016 unless extended by written amendment ("Original Agreement"). D. City and Consultant desire to extend the Original Agreement and amend the terms and conditions to update the compensation cap, revise the fee schedule, and clarify the procedure for awarding task orders for specific plan review services. E. This Agreement is intended to amend and restate the Original Agreement and shall supersede said agreement in its entirety. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: AGREEMENT 1 . Scope of Work. 1 . 1 Types of Services. City retains Consultant to perform, and Consultant agrees to render, the type of services (the "Services") that are defined in attached Exhibit "A," which is incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" and the terms of this Agreement, the tenns of this Agreement shall prevail. City shall have the right to modify the Services, including but not limited to, the right to delete types of Service in whole or in part, upon providing written notification to Consultant. 1 .2 Performance of Services. Consultant shall perform the Services at the direction of the City's project administrator, which shall be the Building Official or designee ("Project Administrator").
